Identification of the parties
The Contracting Parties HEREBY RESOLVE to enter into this AGREEMENT FOR THE TEMPORARY LICENSING OF SOFTWARE USE, PROVISION OF SERVICES AND OTHER COVENANTS ("Agreement"), subject to the following clauses and conditions:
Clause One — Subject matter
1.1. The subject matter of this instrument is the licensing of use, on a temporary and non-exclusive basis, granted by the LICENSOR to the LICENSEE, of the Lithogeo software and platform, as well as the provision of related technical support services for the contracted plan:
1.2. The LICENSEE acknowledges and agrees that any rights related to the use, commercialization, offering, export, reproduction, display, distribution, alteration or execution of the software remain under the exclusive ownership of the LICENSOR, it being understood that this agreement does not transfer any intellectual property or ownership right over the said software(s)
1.3. Upon entering into this instrument, the LICENSEE declares that it is fully aware of and in agreement with all the provisions contained in the LICENSOR's General Privacy and Personal Data Protection Policy, attached to this agreement as Annex I.
Clause Two — Access
2.1. The LICENSOR undertakes to provide the LICENSEE with the access data necessary for the use of the digital platforms, including, but not limited to: login, password and access electronic address.
2.2. Access shall be limited to the type of license acquired and conditioned upon use by a duly designated and identifiable user.
2.3. The access passwords provided are personal, non-transferable and confidential. The LICENSEE assumes full responsibility for their safekeeping, use and confidentiality, being liable for any and all operations carried out under its use.
2.3.1. This responsibility extends to use made by employees, agents, staff or any authorized third parties, or parties linked to the LICENSEE, it being incumbent upon the LICENSEE to manage, oversee and control the access granted, assuming full responsibility for the acts performed under such credentials.
2.4. In the event of loss or forgetting of the password, the LICENSEE may use the reset feature available under the “Forgot your password?” functionality, present on the platform itself
2.5. The LICENSOR is not responsible for the loss of easily identifiable passwords, for the improper sharing of logins, passwords and other confidential credentials that generate or may generate a breach of confidentiality and/or unauthorized access.
2.5.1. Responsibility for the improper use of the account, including when arising from the adoption of easily guessable passwords, shall fall entirely upon the LICENSEE, encompassing any improper access, registration changes, exposure of personal data and resulting pecuniary or non-pecuniary damages.
2.6. In the event of an indication of a security breach, the LICENSOR may, at its discretion, suspend, interrupt or cancel the LICENSEE's access to the system, regardless of prior notice.
2.7. The LICENSEE undertakes to provide truthful, complete and up-to-date information at the time of registration, being responsible for its accuracy and committing to keep it always updated.
2.8. Any and all information entered into the LICENSOR's platforms and software, including banking, financial and tax data, shall be the sole responsibility of the LICENSEE, including with respect to the registration of users, permissions and modes of use.
2.9. The provision of false, incomplete or outdated information may give rise, at the LICENSOR's discretion, to the immediate suspension, interruption or cancellation of the LICENSEE's access to the platform, without prejudice to the application of the penalties provided for in this agreement.
2.10. The LICENSEE shall be liable for any and all improper use by third parties, whether authorized or not, committing to implement adequate security mechanisms to protect the system, such as biometric locks, numeric passwords or other authentication methods.
2.10.1. Should there be a suspicion of improper use of the account by a third party, the LICENSEE must immediately change the access password and formally notify the LICENSOR, under penalty of being held liable for the damages resulting from the omission.
Clause Three — Price, conditions and form of payment
3.1. To use the platform, the LICENSEE shall purchase prepaid plans and/or packages, as per the catalogue and prices published on the platform's plans page, consumed through the following units:
a) Monthly processing credit allowance: 1 (one) credit corresponds to the processing of maps and images of a geographic area of up to 1 (one) hectare;
b) Geo Analysis credits: 1 (one) credit corresponds to 1 (one) integrated analysis of an area of up to 50,000 (fifty thousand) hectares;
c) Inversion credits: 1 (one) credit corresponds to 1 (one) 3D magnetic inversion;
d) Mineral X-Ray lookups: 1 (one) lookup corresponds to the reading of 1 (one) distinct mining claim per month, with a monthly allowance according to the contracted plan or tier.
3.1.2. The LICENSEE declares that it is aware of and agrees that, for the purposes of executing the map and image processing features provided for in this agreement, the credits shall be consumed based on the geographic area effectively processed by the system, which may include not only the polygon provided by the LICENSEE, but also the surrounding area necessary for conforming regular blocks (squares or rectangles). Such methodology derives from the technical structure of the LICENSOR's software, being indispensable for the generation of the contracted products. The area actually charged observes the minimum processing area of 1,000 (one thousand) hectares — smaller polygons receive an enclosing area up to that minimum — and includes a centering margin of up to 20% (twenty percent) per side, decreasing with the size of the area, with the estimated charge shown to the LICENSEE on the platform before the processing is confirmed.
3.2. The monthly processing credit allowance shall be valid for 1 (one) month, counted from the date it is made available, and shall be renewed as follows:
In annual plans, the credits shall be renewed automatically each month, during the term of the plan.
In monthly plans, provision shall occur after confirmation of the advance payment for the respective month.
3.2.1. The monthly processing credit allowance is reset every month (non-cumulative) and any unused balance expires at the end of each cycle. Geo Analysis and Inversion credits purchased separately or included in an annual plan do not expire monthly, remaining available while this agreement is in force, and are added together. The Mineral X-Ray lookup allowance renews monthly, with no carry-over of unused lookups.
3.3. The LICENSOR may readjust the prices of the credit packages annually, based on the variation of the IPCA/IBGE or another official index that replaces it.
3.4. Default in the payment of the contracted credits shall entail the application of a late payment fine of 2% (two percent) on the amount due, plus default interest of 0.33% (thirty-three hundredths of a percent) per day, up to the limit of 1% (one percent) per month, as well as monetary adjustment by the IPCA.
3.5. The absence of a new acquisition of credits for a period exceeding 30 (thirty) days counted from the expiration of the last package acquired may give rise to the suspension of access to the platform, as well as the automatic termination of this instrument, regardless of warning or notice.
3.5.1. After suspension or termination, the LICENSEE's data shall remain available for extraction, in an interoperable format, for a period of 30 (thirty) days, after which it may be permanently deleted. Responsibility for migration and any backup lies entirely with the LICENSEE.
3.6. In the event of default, the LICENSOR may include the LICENSEE's name in credit protection registries, after prior notice.
3.7. The LICENSEE shall be responsible for the payment of all charges arising from the extrajudicial and/or judicial collection of the defaulted amounts, including attorney's fees, court costs and procedural expenses.
3.7. In the event of default, the LICENSOR reserves the right to notify the Credit Protection Bodies for the negative listing of the LICENSEE's name.
3.8. The LICENSEE shall be responsible for the payment of all expenses arising from the extrajudicial and/or judicial collection of the debt.
3.9. This instrument applies indistinctly to monthly and annual plans, observing their operational and payment particularities. The distinction between the models affects only the manner in which the credits are made available, without prejudice to the uniform application of the other contractual conditions.
3.10. Payment may be made by PIX (upfront), by credit card under recurring billing (monthly and recurring annual plans) or, for annual subscriptions and eligible packages, by credit card in up to 12 (twelve) interest-free instalments as a single instalment charge: access is released upon approval of the 1st (first) instalment; defaulted instalments are subject to clause 3.4; and instalment purchases do not renew automatically at the end of the contracted period.
3.11. The LICENSOR may grant free trial periods, with credit, feature and duration limits defined on the platform, with no guarantee of continuity, and may change or terminate them at any time, without creating any vested right for the LICENSEE.
Clause Four — Term
4.1. This agreement enters into force on the date of the electronic acceptance carried out by the LICENSEE and shall remain in force as long as there are contracted credits available and not expired, in accordance with the licensing plan acquired.
4.1.1. In monthly plans, the credits are valid for 1 (one) month, counted from the date of provision on the LICENSOR's platform, renewed upon new advance payment.
4.1.2. In annual plans, the credits shall also be valid monthly, with automatic renewal each month, during the term of 12 (twelve) months counted from acceptance.
4.1.3. Once the respective monthly period ends without a new contracting, or after the expiration of the annual contractual term, the credits shall expire automatically, regardless of their full use, unless a formal extension is agreed between the parties.
4.3. The acquisition of new credits shall entail the automatic extension of the term of this agreement, under the same conditions and clauses originally agreed, unless expressly provided otherwise.
4.4. The exhaustion of the credit balance, without a new recharge within 30 (thirty) days, shall give rise to the termination of this instrument at the sole discretion of the LICENSOR.
Clause Five — Technical support
5.1. The LICENSOR declares that the software that is the subject of this agreement is in constant evolution and improvement, and may eventually present operational failures or temporary interruptions, not being liable, under any circumstances, for guarantees of continuous, uninterrupted or error-free operation.
5.2. The provision of maintenance and technical support services for the licensed software is the exclusive competence of the LICENSOR, the engagement of third parties for such purpose being prohibited, under penalty of application of the penalties provided for in this instrument.
5.3. The Service Level Agreement — SLA below establishes the response and problem resolution times based on the severity of the tickets:
5.3.1. The deadlines established in the previous item may be subject to alteration should there be external factors beyond the LICENSOR's control, such as: dependence on third parties, complex technical issues, the need for cooperation from the LICENSEE for diagnosis, or operational limitations.
5.3.2. In the cases set forth in item 5.3.1, the LICENSOR undertakes to contact the LICENSEE, informing it of the impossibility of meeting the initial deadline and providing a new estimated deadline for resolution. Examples of situations that may give rise to the extension of the deadline, including but not limited to: a) Integration problems with external systems that require the collaboration of outsourced partners or suppliers; b) Infrastructure or network service failures, when resolution depends on the intervention of telecommunications service providers or internet providers; c) Requests for complex customizations that require analysis, development or additional testing, not initially foreseen; d) Cases involving the review of large volumes of data, where resolution may take longer due to the need for meticulous analysis and validation of information.
5.4. Support service, ticket opening, updates and the clarification of operational questions about the software shall be carried out during business hours, from Monday to Friday, from 8 a.m. to 6 p.m.
5.4.1. The LICENSOR's business operating hours are not to be confused with the working hours worked by the development team, especially for the resolution of problems opened via ticket.
5.4.2. For the purposes of differentiating business hours and working hours, it is established that the working hours for the resolution of problems opened via ticket shall be counted only from Monday to Friday, from 8 a.m. to 6 p.m.
5.5. The support service shall be provided solely to:
(a) Provide maintenance regarding the use and operation of the LICENSOR's software(s);
(b) Identify possible errors that result in the malfunction of the LICENSOR's software(s);
(c) Point out solutions for any operational instabilities of the LICENSOR's software(s).
5.6. Not included in the provision of technical support are the services of customization, parameterization, consulting, correction, development of new features and interfacing with other software, systems and applications.
5.7. In case of the need for technical support beyond that provided for in this instrument, the request must be made through the WhatsApp service made available in the internal environment of the software(s) and also made available on the page https://lithogeo.com.br/
5.8. The LICENSOR is not responsible for the loss of information stored in the system caused by improper use of the system.
5.9. If necessary, technical assistance may be carried out by remote access to the device where the software(s) is used. By using the LICENSOR's software(s) and platforms, the LICENSEE grants permission to access its device(s) within the limit of the purpose of providing the installation, maintenance, technical support and training services.
5.10. The software may contain third-party components subject to distinct licensing. Nevertheless, the same limitations, reservations and exclusions of liability provided for in this agreement and in the General Privacy and Data Protection Policy apply to the LICENSEE.
5.11. The LICENSOR is not responsible for damages generated by the systemic operation in non-compliance with the operational conditions described in this agreement.
5.12. The LICENSOR may carry out scheduled maintenance on the systems, aiming to promote updates, technical improvements or corrections of any failures. In such cases, it shall inform users in advance, by means of electronic communication sent to the LICENSEE's registered e-mail.
5.12.1. The communication shall indicate, whenever possible, the estimated period of unavailability, with reasonable measures being adopted to minimize the impacts on the use of the platform.
5.12.2. In cases of emergency maintenance, motivated by critical failures, security risks or unforeseeable events that may compromise the stability or integrity of the system, the LICENSOR may carry out the intervention without prior notice, committing, however, to notify the LICENSEE as soon as possible, informing the nature of the event and the estimated period for the normalization of the services.
Clause Six — Technical requirements
6.1. Access to the LICENSOR's software and digital platforms is possible only from named and licensed users.
6.2. For access via Web platforms, the technical limits of the software must be observed. For the correct, efficient and secure operation of the Web platforms, it is necessary to use the most up-to-date versions of the browser of preference, with the use of Google Chrome, Mozilla Firefox or Safari being recommended.
6.3. The LICENSOR's software and digital platforms may collect and use technical data from the LICENSEE's devices, such as specifications, configurations, operating system versions, type of internet connection and the like, to optimize the software and improve its experience.
6.3.1. The information collected for the navigation and operation of the LICENSOR's demands has the knowledge and consent of the LICENSEE, in accordance with the acceptance in the Privacy Policy.
Clause Seven — Personal data protection
7.1. The LICENSEE must ensure that the rights of the customers/suppliers/end users or any other person whose data is processed by it are fully respected, and that any requests are met within the legal deadlines.
7.2. The LICENSEE fully submits to the content of the LICENSOR's General Privacy & Personal Data Protection Policy, as per ANNEX I of this instrument, in addition to the provisions of Law No. 13.709/18 — Brazilian General Data Protection Law (LGPD), especially with respect to the collection, processing and storage of personal data.
7.3. The LICENSEE undertakes to implement adequate security measures to protect the personal data of its customers/suppliers/end users against unauthorized access, loss, destruction or any improper processing, being solely responsible for any violations.
7.4. The LICENSOR disclaims any liability for damages and/or losses arising from the improper processing of personal data by the LICENSEE when using the software, applications and/or digital platforms.
7.5. The customers/suppliers/end users or any other person whose data is processed by the LICENSEE have the right to access, correct, delete or request information about the personal data processed by it.
7.6. The holders or representatives of any person whose data is processed by the LICENSEE agree to exempt the LICENSOR from any liability for the protection of their personal data, expressly acknowledging that it merely provides the software, with the LICENSEE being solely responsible for the processing of the data.
7.5.1. In some cases the end users themselves will enter the data into the systems, in which case the LICENSOR shall likewise be exempt from liability.
Clause Eight — Obligations
8.1. Obligations of the LICENSEE:
a) To make available to the LICENSOR all the information necessary for the development of the services to be provided;
b) To immediately notify the LICENSOR, through the WhatsApp service made available in the internal environment of the software(s) and also made available on the page https://lithogeo.com.br/, of any failures or operational questions that may hinder or make impossible the provision of the contracted services or that, in any way, may impair the provision of services;
c) To ensure that the use of the software by itself, by its staff or agents is carried out through a secure environment, with updated antivirus and on a private network;
d) To ensure that access is carried out by identified users, with individualized and non-transferable credentials;
e) To watch over and ensure that no unauthorized assignment of user passwords to third parties occurs;
f) To be responsible for the data entered into the software, whether tax, accounting or managerial data of its activity, that are made available to the Competent Authorities, with no liability being attributable to the LICENSOR;
g) All financial and tax operations carried out within the scope of the applications are the sole responsibility of the LICENSEE. In the event of misuse or irregularities, with respect to use contrary to the tax and fiscal standards, in accordance with the legislation in force, the LICENSOR shall be exempt from any liability, damages, non-conformities and/or infractions;
h) To fully adhere to the content of the LICENSOR's General Privacy & Personal Data Protection Policy, under the terms of ANNEX I of this instrument.
8.2. Obligations of the LICENSOR:
a) To execute the services and develop the provision of the services set forth in this Agreement;
b) To make the software available, keeping it functioning and operating during the term of the agreement, except in cases of any technical failures;
c) The LICENSOR shall develop adaptations to its software and digital platforms as a result of legal changes that require new features. The updates arising from the maintenance services provided shall be made available automatically, and the LICENSOR reserves the right to deactivate old versions of the software and platforms.
d) In order to generate greater efficiency of its software and digital platforms, the LICENSOR reserves the right to include, alter or delete screens, routines, reports and procedures without the need for notice to the LICENSEE.
e) The LICENSOR is not responsible if an update or new version of the software and digital platforms requires new infrastructure configurations, such as operating system, database manager, network, internet, other software, etc., with the LICENSEE being required to possess all the necessary means to operate the contracted applications.
f) The LICENSOR is open to receiving suggestions for the development of new features in its software and digital platforms, provided that an analysis of implementation feasibility and prioritization is carried out.
g) Improvement suggestions do not qualify as support tickets, and may be promptly closed by the LICENSOR, regardless of a response.
Clause Nine — Copyright and intellectual property
9.1. By this instrument the LICENSEE does not acquire any intellectual property right, including patents, designs, trademarks or any other rights over confidential or non-confidential information, including, but not limited to, texts, graphics, images, logos, icons, photographs, editorial content, notifications, software and any other material, over or related to the software.
9.1.1. The LICENSEE also does not acquire any right over the software, or any component thereof, beyond the rights expressly licensed in this agreement. Any rights not expressly granted under this instrument are reserved.
9.1.2. This instrument is governed by the provisions of Federal Laws No. 9.609/98 and 9.610/98, with infringers being subject to the penalties of the crimes provided for in art. 12 of Law No. 9.609/98, without prejudice to liability for the losses and/or damages caused.
9.2. Also the exclusive property of the LICENSOR is all the content made available on the site, including, but not limited to, texts, graphics, images, logos, icons, photographs, editorial content, notifications, software and any other material.
9.3. Any procedure that entails the renting, leasing, lending, whether total or partial, of the LICENSOR's software to third parties is prohibited. It being expressly PROHIBITED for the LICENSEE to:
a) Use the LICENSOR's platforms and software to disclose data and information that have not been requested or whose disclosure has not been expressly authorized by their holders. Any infringement may be considered a violation of the applicable legislation, regarding data protection, ownership rights of the LICENSOR and/or of third parties;
b) Publish or transmit any file that contains malware, adware, or ransomware, or any other contaminating or destructive software, or that otherwise interferes with the proper functioning of the LICENSOR's software and digital platforms;
c) Use the LICENSOR's software and digital platforms for a purpose other than that for which they were contracted;
d) Use the LICENSOR's software and digital platforms in any way that violates any applicable municipal, federal, state or international law or regulation;
e) Use the LICENSOR's software and digital platforms with the aim of exploiting, harming or attempting to exploit, or harming third parties in any way;
f) Use the LICENSOR's software and digital platforms to transmit or procure the sending of any advertising or promotional material, including any “electronic junk”, “spam” or any other similar solicitation;
g) Use the LICENSOR's software and digital platforms for data mining, cryptocurrencies, robots or any other data collection and extraction tools to extract, whether in isolation or recurrently, any minimally significant part of the software;
h) Carry out the treatment and correction of malicious software on its own initiative;
i) Enable macros for files received from suspicious sources, downloaded from the internet or received by e-mail, or instant messengers. If necessary, the support of the IT team may be requested to validate whether the file represents a threat or not;
j) Use its account, or attempt to use any other account, to violate security controls established by the LICENSOR.
9.4. In the event of the identification of improper use of the LICENSOR's products and services, such as the violation of the security systems, copying, reproduction, decryption of source, unlocking of the existing security systems, among others, the LICENSEE must immediately report the occurrence to the LICENSOR, in addition to collaborating in whatever is necessary to cease the infringement, under penalty of becoming secondarily liable for the legal infringement.
9.4.1. The LICENSEE is not authorized to assign, sublicense, sell, lease, rent or pledge, donate, dispose of in any way, transfer in whole or in part, under any modality, gratuitously or onerously, provisionally or permanently, any of the LICENSOR's products, under any title whatsoever, as well as any information, under penalty of suffering the sanctions established in Law No. 9.609/98 and being held judicially liable for losses and damages and lost profits.
9.5. Any indication of an attempt or an effectively carried out violation of the guidelines presented in this clause shall entail the immediate termination of the agreement, as well as the cancellation of any rights that the LICENSEE may hold.
9.6. The infringement of the items of this clause obliges the LICENSEE to pay the LICENSOR the amount corresponding to the price of one year of software subscription, without prejudice to indemnification for the damages caused, including consequential damages and lost profits.
9.7. The use of the LICENSOR's software and digital platforms in an irregular, illegal manner or in disagreement with the conditions provided for in this instrument shall entail the exclusion from the registration and the termination of this instrument.
9.8. Use and Licensing of the Generated Products:
9.8.1. The products supplied by the SOFTWARE result from the processing and analysis of geospatial data from various sources, including public, proprietary and authorized third-party databases.
9.8.2. These products are derivative works, with technical transformations that differentiate them from the original data, such as changes in format, resolution, interpolation, symbology and integration with other layers.
9.8.3. The LICENSOR grants the LICENSEE a non-exclusive, limited and temporary license for the use of the products, with the redistribution as original or raw data being prohibited.
9.8.4. It is incumbent upon the LICENSEE to ensure that the use of the products complies with the licenses of the original sources, including, where applicable, the Creative Commons Attribution–NonCommercial 4.0 (CC BY-NC 4.0).
9.8.5. The LICENSOR is not responsible for use in non-compliance with the original licenses, it being the obligation of the LICENSEE to comply with the applicable conditions.
9.8.6. The processing carried out by the SOFTWARE de-characterizes the original data, converting it into its own technical products, distinct from the inputs used.
Clause Ten — Public databases and dependence on third-party government bodies
10.1. The platform integrates and processes data from official public sources, including, without limitation: the Brazilian National Mining Agency — ANM (Mining Registry/SCM, SIGMINE, REPEM and microdata), the Geological Survey of Brazil — SGB/CPRM (geology, geochemistry, airborne geophysics), IBGE, FUNAI, INCRA and MMA/ICMBio.
10.2. Such data is owned by and the responsibility of the respective bodies, reflecting the content published by them as of the last update incorporated by the platform. The LICENSOR makes reasonable efforts to update periodically (daily, in the case of ANM data; in each source's own cycle for the others), but is not liable for delays, errors, omissions, corrections or unavailability originating at the source, nor for decisions made based on data that the originating body had not yet published or had already changed.
10.3. The information on the platform — including deadlines, alerts, obligation status indicators and notifications of Mineral X-Ray and Mineral X-Ray Insight — does not replace formal consultation of the official systems and publications of the competent bodies, nor service of process or notices made through official channels, awareness of which remains the responsibility of the LICENSEE and its representatives.
Clause Eleven — Technical nature and limitations of the products
11.1. The platform's products are technical decision-support tools for exploration and management, produced by automated methods over the available data, and do not constitute a legal, financial or investment report, opinion or advice, nor do they replace a duly qualified professional.
11.2. Mineral X-Ray organizes and classifies, under documented technical criteria, events and deadlines published by ANM; this reading is interpretative and may differ from the understanding of the agency or of the courts in specific cases.
11.3. Geophysical models — including 3D Magnetic Inversion (VectorMag) — are mathematically non-unique solutions, dependent on assumptions stated in the reports that accompany them; anomalies, models and indices (including geochemical scores) do not assure the existence, grade or economic viability of mineralization.
11.4. Statistical indicators of Mineral X-Ray Insight (such as the exploration budget benchmark) describe distributions of public documents and do not constitute a valuation or investment recommendation.
11.5. Alerts and communications by e-mail depend on third-party services and on the LICENSEE's mailbox; the LICENSOR is not liable for messages not received, filtered or read late.
11.6. The Mining Process Dossier, the on-screen report and the other outputs of Mineral X-Ray are informational documents, intended for reference and decision support: they are not a certificate, technical report or legal opinion, have no evidentiary value before ANM and do not replace the official SEI/ANM consultation, the duly qualified professional or the lawyer.
11.7. The deadlines and legal bases displayed result from an automated, interpretive reading of published acts, as set out in clause 11.2. For decisions with legal effect — filings, defenses, appeals, contracts, assignments or the acquisition of mining rights — the LICENSEE shall consult a lawyer specialized in mining law.
11.8. The LICENSOR is not liable for decisions made by the LICENSEE solely on the basis of the platform's products.
Clause Twelve — Termination
12.1. This Agreement may be terminated by either Party, upon written notice, with a minimum of 30 (thirty) days' advance notice, without additional charges, except for the full payment of the amounts eventually due on account of the credits used up to the date of the effective termination.
12.2. This instrument shall be extinguished in the event of discontinuation of the software, without any penalty, provided that, with a minimum of 60 (sixty) days' advance notice, written notice is given to the LICENSEE.
12.3. The LICENSOR may terminate the agreement at any time in the event of violation by the LICENSEE of the agreed terms and conditions, or in the event of a payment delay not remedied within 30 (thirty) days.
12.4. Once the agreement is suspended or terminated, the LICENSOR shall keep the LICENSEE's information stored for a maximum period of 30 (thirty) calendar days, counted from the suspension/interruption of access. During this period, the LICENSOR shall make the information available for extraction, upon express request by the LICENSEE, and after the period, may freely delete the data.
12.5. Within 7 (seven) calendar days, counted from the date of signing of this agreement, the LICENSEE may, if it so wishes, withdraw from the agreement, upon written notice to the LICENSOR. In this case, the agreement shall be considered terminated and the refund shall occur under the conditions below:
12.5.1. Should the LICENSEE not have made use of the credits acquired in the aforementioned situation, the full value of the credits shall be fully refunded.
12.5.2. Should the LICENSEE have already used part of the credits acquired, the reimbursement shall be proportional to the remaining credits.
12.5.3. Should the credits acquired have been fully used, the agreement may be terminated; however, there shall be no refund, in view of the full utilization of the contracted platform by the LICENSEE.
12.6. In the event of exercise of the right of withdrawal from the agreement by the LICENSEE, under the terms of clause 12.5, the refund of amounts eventually due shall be carried out by the LICENSOR within a period of up to 10 (ten) business days, counted from the receipt of the formal notice of withdrawal. The blocking of the LICENSEE's access to the platform and to the contracted services shall occur immediately after confirmation of the withdrawal request, regardless of the degree of utilization of the credits acquired.
12.6.1. The refund shall be carried out using the same means of payment originally used by the LICENSEE (PIX, credit card, bank slip, etc.), except in the case of technical impossibility, in which case the parties may agree on another form of restitution.
Clause Thirteen — Binding to the content of the general privacy & personal data protection policy
13.1 The LICENSEE, upon signing this instrument, declares that it is aware of, has READ and AGREES with all the provisions contained in the LICENSOR's General Privacy & Personal Data Protection Policy, which shall prevail over any and all verbal negotiations or documents eventually exchanged between the parties.
13.2. The LICENSOR's General Privacy & Personal Data Protection Policy is incorporated into this instrument through Annex I.
Clause Fourteen — Jurisdiction
14.1 The Parties elect the jurisdiction of the District of the city of Formiga — Minas Gerais, to settle any doubts or controversies arising from this agreement, to the exclusion of any other, however privileged it may be.
And being in agreement, the Parties sign the agreement in a single digital copy and in the presence of the witnesses mentioned below, producing its effects, binding the Parties and their assignees or successors under any title.
